Munich-based RegTech provider Cleversoft Group is moving deeper into the UK regulatory reporting market with a deal to acquire FS Assist, the family-owned software company behind SII Assist.
The transaction was announced this week and is expected to close later in August 2026, assuming customary closing conditions are met. Financial terms have not been disclosed.
It is another acquisition for a company that has been steadily building out its European compliance technology business rather than relying on organic expansion alone.
FS Assist Brings an Established Regulatory Reporting Business
FS Assist has been operating since 1998 and develops software designed to automate regulatory reporting for insurers, Lloyd’s syndicates and pension providers.
Its best-known product is SII Assist, a reporting platform used by roughly 350 financial and insurance institutions across the UK and Europe.
That existing customer base is arguably the more interesting part of the deal.
Cleversoft already has its own regulatory reporting technology. Buying FS Assist gives it an established position in the UK market, relationships with hundreds of regulated firms and another route for distributing its broader compliance software.
FS Assist has remained family-owned and is currently led by directors Pete and Andrew Comber. Cleversoft said it intends to retain the entire FS Assist team after the transaction closes.
Cleversoft Plans to Combine FS Assist With eFrame
The acquisition will sit alongside Cleversoft’s supervisory reporting business, which uses its eFrame platform to automate compliance filings across several major European regulatory frameworks.
Those include Solvency II, the Corporate Sustainability Reporting Directive (CSRD), IORP II, IFRS 17 and the Digital Operational Resilience Act, better known as DORA.
There is an obvious cross-selling play here.
Once the acquisition is completed, Cleversoft plans to offer its existing compliance and reporting capabilities to FS Assist customers. That could turn a relatively focused regulatory reporting acquisition into a much broader distribution channel for the group’s RegTech products.
The overlap between the two companies also means Cleversoft is not entering an unfamiliar market. It is adding another reporting platform and an established group of clients to technology it already sells.
Another Deal in Cleversoft’s European Expansion
FS Assist is not an isolated acquisition.
Cleversoft has been pursuing a wider M&A strategy backed by US private equity firm Levine Leichtman Capital Partners, expanding across compliance, financial crime technology and wealth management software.
In May 2026, the company announced the acquisition of Austrian WealthTech provider FAIT Internet Software. FAIT serves nearly 50 banks and insurance companies and adds digital advisory capabilities to Cleversoft’s growing WealthTech operation.
Cleversoft has also previously acquired Dutch financial crime specialist BusinessForensics and anti-money laundering software provider Fineksus.
The pattern is becoming fairly clear: acquire specialist European software providers with established regulatory or financial-industry customer bases, then connect those products to a wider Cleversoft platform.
Why the FS Assist Acquisition Matters
Regulatory reporting is hardly the flashiest corner of fintech. That may be exactly why businesses such as FS Assist remain attractive.
Banks, insurers, pension providers and other regulated firms cannot simply stop submitting filings when budgets tighten. Reporting requirements continue to change, while rules such as DORA and CSRD have added another layer of technology and compliance work for financial institutions.
Software capable of automating that workload can become deeply embedded inside an organisation.
For Cleversoft, FS Assist therefore offers more than another product. It brings longstanding customers, specialised UK regulatory expertise and a platform already used in day-to-day compliance processes.
The deal also strengthens Cleversoft’s position in insurance regulatory reporting, particularly around Solvency II and related UK requirements.
A Bigger RegTech Platform Is Taking Shape
Cleversoft’s recent acquisition activity suggests the company wants to become a broader European financial compliance technology platform rather than remain focused on a handful of individual reporting products.
FS Assist fits neatly into that strategy.
There may not be a dramatic product overhaul immediately after closing. The more consequential move could be quieter: connecting FS Assist’s client base with Cleversoft’s wider regulatory reporting, financial crime and compliance technology stack.
For existing FS Assist customers, continuity also appears to be part of the plan, with Cleversoft saying the current team is expected to remain in place.
The acquisition is scheduled to close later in August 2026.
